This document is bilingual. The English version and the Spanish version (Sección en español) describe the same legal terms. In case of discrepancy, the Spanish version controls for residents of Puerto Rico and the English version controls elsewhere.

English

1. Acceptance of these Terms

By creating an OMI account, downloading the OMI mobile application, pairing the OMI smart-kitchen hub, or otherwise using the OMI service (the "Service"), you agree to these Terms of Service ("Terms") and to the OMI Privacy Policy. If you do not agree, do not use the Service.

The Service is provided by Paper Plane LLC, a Puerto Rico limited liability company ("Paper Plane", "we", "us", "our").

2. Who can use the Service

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. If you are between 13 and 18, you may use the Service only under the supervision of a parent or legal guardian who accepts these Terms on your behalf. The Service is not intended for users under 13, and you must not create an account on behalf of anyone under 13.

You must provide accurate registration information and keep it up to date.

3. Your account

You are responsible for the activity that occurs under your account. Do not share your password. Notify us at support@paperplanellc.com immediately if you suspect any unauthorized access.

A household may include multiple members. The household owner can invite or remove members. Members share pantry, recipe, and scan data within the household.

4. Your content

You retain ownership of the content you create or upload to the Service (photos, recipes, lists, comments). By using the Service you grant Paper Plane a non-exclusive, royalty-free, worldwide license to host, process, and display your content solely to operate, improve, and secure the Service.

If you opt in to the "Use my photos to improve OMI" setting, you additionally grant Paper Plane a non-exclusive, royalty-free, worldwide license to use the photos you scan to train machine-learning models. You may revoke this license prospectively at any time by toggling the setting off; revocation does not affect models already trained.

You represent that you have the right to upload the content you provide. You must not upload content that infringes the rights of others, that depicts illegal activity, or that includes other people without their consent.

5. AI-generated output — IMPORTANT DISCLAIMER

OMI uses third-party artificial-intelligence services (including Anthropic Claude and OpenAI GPT-4o) to identify products from photos and to suggest recipes.

AI output can be wrong. Always verify the following before consuming any food prepared based on OMI recommendations:

• Allergens — OMI may misidentify or omit allergens. If you, anyone in your household, or anyone who will consume the food has a food allergy or intolerance, you must independently confirm every ingredient on the original packaging before consumption.
• Ingredients and quantities — OMI's product identification, OCR, and recipe-generation features may be inaccurate.
• Expiration and food safety — Pantry expiration tracking is a convenience feature. It does not replace inspection of the food itself for spoilage, contamination, or unsafe storage conditions.
• Nutritional information — OMI may pull nutritional data from public sources that can be incomplete or out of date.
• Dietary restrictions — OMI may suggest recipes that conflict with religious, ethical, or medical dietary restrictions. Always read the full recipe before relying on it.

OMI is not a substitute for professional medical, nutritional, or dietary advice. Consult a qualified professional for guidance specific to your health or your family's health.

By using OMI you accept full responsibility for verifying AI output before acting on it.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Reverse engineer, decompile, or attempt to extract source code from the Service, except where prohibition is unenforceable by law
• Interfere with the Service's operation or attempt to bypass rate limits, authentication, or security controls
• Upload malware, scrape data via automated means, or otherwise abuse the Service infrastructure
• Use the Service to harass, abuse, defame, or otherwise harm other users
• Resell or commercialize the Service without prior written agreement with Paper Plane

We may suspend or terminate accounts that violate these rules.

7. Service availability and changes

The Service is provided "as is" and "as available". We may modify, suspend, or discontinue any part of the Service at any time. We will give reasonable advance notice of material changes that affect existing users.

8. Subscriptions and payments

The Service may, in the future, offer paid subscriptions or in-app purchases. Pricing, billing cadence, refund policy, and platform-specific (Apple App Store / Google Play) handling will be disclosed at the time of purchase. Current Service tier as of the effective date of these Terms: free for personal household use.

9. Termination

You may delete your account at any time from Settings → Account → Delete account. We will soft-delete immediately and hard-delete after a 30-day grace period, subject to legal-hold exceptions. See the Privacy Policy retention section.

We may suspend or terminate your account if you materially breach these Terms, if required by law, or to protect the safety or integrity of the Service.

10. Warranty disclaimer

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPER PLANE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PAPER PLANE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Paper Plane and its officers, employees, and agents from any claim or demand made by a third party arising out of (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or the Service will be brought exclusively in the courts of San Juan, Puerto Rico, and you consent to personal jurisdiction in those courts. This provision does not apply where prohibited by applicable consumer-protection law in your jurisdiction.

14. Changes to these Terms

We may update these Terms when our practices or the law change. Material changes will be announced at least 14 days before they take effect, in-app and at the email address on file. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

1. Aceptación de estos Términos

Al crear una cuenta OMI, descargar la aplicación móvil OMI, vincular el hub inteligente OMI o usar de cualquier otra forma el servicio OMI (el "Servicio"), aceptas estos Términos del Servicio ("Términos") y el Aviso de Privacidad de OMI. Si no estás de acuerdo, no uses el Servicio.

El Servicio lo presta Paper Plane LLC, una sociedad de responsabilidad limitada de Puerto Rico ("Paper Plane", "nosotros").

2. Quién puede usar el Servicio

Debes tener al menos 18 años (o la mayoría de edad en tu jurisdicción) para crear una cuenta. Si tienes entre 13 y 18 años, solo podrás usar el Servicio bajo supervisión de tu padre, madre o tutor legal, quien acepta estos Términos en tu nombre. El Servicio no está dirigido a menores de 13 años y no debes crear una cuenta en nombre de alguien menor de 13 años.

Debes proporcionar información de registro veraz y mantenerla actualizada.

3. Tu cuenta

Eres responsable de la actividad que ocurra en tu cuenta. No compartas tu contraseña. Avísanos a support@paperplanellc.com inmediatamente si sospechas algún acceso no autorizado.

Un hogar puede tener varios miembros. El propietario del hogar puede invitar o quitar miembros. Los miembros comparten datos de despensa, recetas y escaneos dentro del hogar.

4. Tu contenido

Conservas la propiedad del contenido que creas o subes al Servicio (fotos, recetas, listas, comentarios). Al usar el Servicio nos otorgas una licencia no exclusiva, sin regalías y mundial para alojar, procesar y mostrar tu contenido únicamente para operar, mejorar y proteger el Servicio.

Si activas el ajuste "Usar mis fotos para mejorar OMI", además nos otorgas una licencia no exclusiva, sin regalías y mundial para usar las fotos que escaneas con el fin de entrenar modelos de aprendizaje automático. Puedes revocar esta licencia de forma prospectiva en cualquier momento desactivando el ajuste; la revocación no afecta a modelos ya entrenados.

Declaras que tienes los derechos necesarios sobre el contenido que subes. No debes subir contenido que infrinja derechos de terceros, que muestre actividades ilegales o que incluya a otras personas sin su consentimiento.

5. Resultados generados por IA — ADVERTENCIA IMPORTANTE

OMI usa servicios de inteligencia artificial de terceros (incluyendo Anthropic Claude y OpenAI GPT-4o) para identificar productos a partir de fotos y para sugerir recetas.

Los resultados de IA pueden ser incorrectos. Antes de consumir cualquier alimento preparado con base en recomendaciones de OMI, debes verificar:

• Alérgenos — OMI puede identificar mal u omitir alérgenos. Si tú, alguien de tu hogar o alguien que consumirá el alimento tiene alguna alergia o intolerancia alimentaria, debes confirmar de forma independiente cada ingrediente en el empaque original antes de consumirlo.
• Ingredientes y cantidades — La identificación de productos, OCR y generación de recetas de OMI pueden ser inexactas.
• Caducidad y seguridad alimentaria — El seguimiento de fechas de caducidad es una herramienta de conveniencia. No sustituye la inspección directa del alimento para detectar deterioro, contaminación o condiciones de almacenamiento inseguras.
• Información nutricional — OMI puede obtener datos nutricionales de fuentes públicas que pueden estar incompletas o desactualizadas.
• Restricciones dietéticas — OMI puede sugerir recetas que entren en conflicto con restricciones religiosas, éticas o médicas. Lee siempre la receta completa antes de basarte en ella.

OMI no es un sustituto de asesoría médica, nutricional ni dietética profesional. Consulta a un profesional calificado para orientación específica sobre tu salud o la de tu familia.

Al usar OMI aceptas plena responsabilidad por verificar los resultados de IA antes de actuar sobre ellos.

6. Uso aceptable

Te comprometes a no:

• Usar el Servicio con fines ilegales
• Hacer ingeniería inversa, descompilar o intentar extraer código fuente del Servicio, salvo donde la ley no permita prohibirlo
• Interferir con la operación del Servicio o intentar evadir límites de uso, autenticación o controles de seguridad
• Subir software malicioso, hacer scraping automatizado o abusar de la infraestructura del Servicio
• Usar el Servicio para acosar, agredir, difamar o dañar de cualquier forma a otros usuarios
• Revender o comercializar el Servicio sin acuerdo previo por escrito con Paper Plane

Podremos suspender o terminar cuentas que violen estas reglas.

7. Disponibilidad y cambios al Servicio

El Servicio se presta "tal cual" y "según disponibilidad". Podemos modificar, suspender o descontinuar cualquier parte del Servicio en cualquier momento. Daremos aviso razonable con anticipación de cambios materiales que afecten a usuarios existentes.

8. Suscripciones y pagos

El Servicio podrá, en el futuro, ofrecer suscripciones pagas o compras dentro de la aplicación. Los precios, periodicidad de facturación, política de reembolso y manejo específico de plataforma (Apple App Store / Google Play) se indicarán al momento de la compra. Nivel actual del Servicio a la fecha de entrada en vigor de estos Términos: gratuito para uso personal del hogar.

9. Terminación

Puedes eliminar tu cuenta en cualquier momento desde Configuración → Cuenta → Eliminar cuenta. Realizamos un borrado lógico inmediato y un borrado definitivo a los 30 días naturales, sujeto a las excepciones de retención legal. Consulta la sección de conservación del Aviso de Privacidad.

Podemos suspender o terminar tu cuenta si incumples materialmente estos Términos, si la ley lo requiere, o para proteger la seguridad o integridad del Servicio.

10. Renuncia de garantías

SALVO DONDE LA LEY LO PROHÍBA, EL SERVICIO SE PROPORCIONA SIN GARANTÍAS DE NINGÚN TIPO, EXPRESAS O IMPLÍCITAS, INCLUYENDO GARANTÍAS DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPÓSITO PARTICULAR O NO INFRACCIÓN. NO GARANTIZAMOS QUE EL SERVICIO ESTÉ LIBRE DE INTERRUPCIONES, ERRORES O VULNERABILIDADES, NI QUE LOS RESULTADOS GENERADOS POR IA SEAN EXACTOS.

11. Limitación de responsabilidad

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY, PAPER PLANE NO SERÁ RESPONSABLE DE NINGÚN DAÑO INDIRECTO, INCIDENTAL, ESPECIAL, CONSECUENTE O PUNITIVO, NI POR LUCRO CESANTE, PÉRDIDA DE INGRESOS, DATOS O NEGOCIO, DERIVADO DEL O RELACIONADO CON TU USO DEL SERVICIO. NUESTRA RESPONSABILIDAD TOTAL ACUMULADA HACIA TI POR TODOS LOS RECLAMOS RELACIONADOS CON EL SERVICIO NO EXCEDERÁ LA MAYOR DE (A) LA CANTIDAD QUE PAGASTE A PAPER PLANE POR EL SERVICIO EN LOS DOCE MESES ANTERIORES AL RECLAMO, O (B) CIEN DÓLARES DE LOS ESTADOS UNIDOS (USD 100).

Algunas jurisdicciones no permiten la exclusión o limitación de ciertos daños; en esas jurisdicciones nuestra responsabilidad se limitará al máximo permitido por la ley.

12. Indemnización

Te comprometes a defender, indemnizar y eximir de responsabilidad a Paper Plane y a sus directivos, empleados y agentes ante cualquier reclamo o demanda hecho por un tercero que surja de (a) tu uso del Servicio, (b) tu contenido, (c) tu incumplimiento de estos Términos, o (d) tu violación de los derechos de un tercero.

13. Ley aplicable y resolución de controversias

Estos Términos se rigen por las leyes del Estado Libre Asociado de Puerto Rico, sin atender a sus principios de conflicto de leyes.

Cualquier controversia derivada de o relacionada con estos Términos o el Servicio se llevará exclusivamente ante los tribunales de San Juan, Puerto Rico, y aceptas la jurisdicción personal de dichos tribunales. Esta disposición no aplica donde la ley de protección al consumidor de tu jurisdicción la prohíba.

14. Cambios a estos Términos

Podemos actualizar estos Términos cuando nuestras prácticas o la ley cambien. Los cambios materiales se anunciarán al menos 14 días antes de su entrada en vigor, dentro de la aplicación y al correo electrónico en archivo. Tu uso continuado del Servicio después de la fecha de entrada en vigor constituye aceptación de los Términos actualizados.
